Terms of Use Reelshot by Reeltime Apps Ltd We provide our Services to you subject to the following Terms of Use, which may be updated by us from time to time without notice to you. By browsing the public areas or by accessing and using the Services, you acknowledge that you have read, understood, and agree to be legally bound by the terms and conditions of these Terms of Use and the terms and conditions of our Privacy Policy, which is hereby incorporated by reference (collectively, this “Agreement”). If you do not agree to any of these terms, then please do not use the Services. Basic Terms You are responsible for your use of the Services, for any Content you post to the Services, and for any consequences thereof. You should only provide Content that you are comfortable sharing with others under these Terms. The Services may include advertisements, which may be targeted to the Content or information on the Services, queries made through the Services, or other information. The types and extent of advertising by Reeltime Apps Limited on the Services are subject to change. In consideration for Reeltime Apps Limited granting you access to and use of the Services, you agree that Reeltime Apps Limited and its parent, third party providers and partners may place such advertising on the Services or in connection with the display of Content or information from the Services whether submitted by you or others. Privacy Any information that you provide to Reeltime Apps Limited is subject to our Privacy Policy, which governs our collection and use of your information. You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the United Kingdom and/or other countries for storage, processing and use by Reeltime Apps Limited. As part of providing you the Services, we may need to provide you with certain communications, such as service announcements and administrative messages. These communications are considered part of the Services and your Reeltime Apps Limited account, which you may not be able to opt-out from receiving. Under no circumstances will Reeltime Apps Limited be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Services or broadcast elsewhere. You hereby represent and warrant that (i) you own all rights in and to your User Content, or, if the User Content is subject to third party proprietary rights, including, for example, material protected by copyright, trademark, patent or trade secret law or other proprietary rights laws, you have all necessary licenses, rights, consents, and permissions to publish the User Content you submit and to grant the rights granted herein, including permission from all person(s) appearing in your User Content; (ii) you are not a minor, (iii) you are legally entitled to post the User Content, , and (iv) the User Content is not libellous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, or offensive and the Licensed Parties’ use of your User Content as described herein will not violate any other law. You hereby release, discharge and agree to hold the Licensed Parties, and any person acting on their behalf, harmless from any liability related in any way to the Licensed Parties’ use of your User Content. You or the owner of your User Content still own the copyright in User Content sent to us, but by submitting User Content via the Services, you hereby grant us an unconditional irrevocable, non-exclusive, royalty-free, fully transferable, perpetual worldwide licence to use, modify, adapt, reproduce, make derivative works of, publish and/or transmit, and/or distribute and to authorise others users of the Services and other third-parties to view, access, use, download, modify, adapt, reproduce, make derivative works of, publish and/or transmit your User Content in any format and on any platform, either now known or hereinafter invented. Age Limit. Reelshot is only for people 13 years old and over unless they have the consent of a parent or legal guardian. By using the Platform, you confirm that you are over the relevant age specified above. If we learn that someone under the relevant age specified above is using the Platform, we will terminate that user’s account. In addition, if you are under the relevant age specified above, you confirm that you possess legal parental or guardian consent for accessing or using the Platform, and are fully able and competent to enter into, abide by, and comply with the Terms. Your Rights You retain your rights to any Content you submit, post through the Services. In order to make the Services available to you and other users, Reeltime Apps Limited needs a license from you. By submitting, posting or displaying Content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such Content in any and all media or distribution methods (now known or later developed). You agree that this license includes the right for Reeltime Apps Limited to provide, promote, and improve the Services and to make Content submitted to or through the Services available to other companies, organisations or individuals who partner with Reeltime Apps Limited for the syndication, broadcast, distribution or publication of such Content on other media and services, subject to our terms and conditions for such Content use. Such additional uses by Reeltime Apps Limited, or other companies, organisations or individuals who partner with Reeltime Apps Limited, may be made with no compensation paid to you with respect to the Content that you submit, post, transmit or otherwise make available through the Services. We may modify or adapt your Content in order to transmit, display or distribute it over computer networks and in various media and/or make changes to your Content as are necessary to conform and adapt that Content to any requirements or limitations of any networks, devices, services or media. You are responsible for your use of the Services, for any Content you provide, and for any consequences thereof, including the use of your Content by other users and our third party partners. You understand that your Content may be syndicated, broadcast, distributed, or published by our partners and if you do not have the right to submit Content for such use, it may subject you to liability. Reeltime Apps Limited will not be responsible or liable for any use of your Content by Reeltime Apps Limited in accordance with these Terms. You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any Content that you submit. Your License to Use the Services Reeltime Apps Limited gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software that is provided to you by Reeltime Apps Limited as part of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Reeltime Apps Limited, in the manner permitted by these Terms. Reeltime Apps Limited Rights All right, title, and interest in and to the Services (excluding Content provided by users) are and will remain the exclusive property of Reeltime Apps Limited and its licensors. The Services are protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Reeltime Apps Limited reserves all rights not expressly granted in these Terms. You acknowledge and agree that any feedback, comments, or suggestions you may provide regarding Reeltime Apps Limited, or the Services is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you. Restrictions on Content and Use of the Services We reserve the right at all times (but will not have an obligation) to remove or refuse to distribute any Content on the Services and to suspend or terminate users. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Terms, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of Reeltime Apps Limited, its users and the public. Reeltime Apps Limited does not disclose personally identifying information to third parties except in accordance with our Privacy Policy. You may not do any of the following while accessing or using the Services: (i) access, tamper with, or use non-public areas of the Services, Reeltime Apps Limited\\\'s computer systems, or the technical delivery systems of Reeltime Apps Limited\\\'s providers; (ii) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures; (iii) access or search or attempt to access or search the Services by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by Reeltime Apps Limited (and only pursuant to those terms and conditions), unless you have been specifically allowed to do so in a separate agreement with Reeltime Apps Limited; (iv) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Services to send altered, deceptive or false source-identifying information; or (v) interfere with, or disrupt, (or attempt to do so), the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the Services, or by scripting the creation of Content in such a manner as to interfere with or create an undue burden on the Services. Use of AI Tools The Services may include optional features that generate images, text, or other outputs using artificial intelligence (“AI Features”). These AI Features are powered by third-party providers, including the OpenAI API. By using any AI Feature, you agree to the terms in this section in addition to the rest of this Agreement. You understand and agree that: AI-generated outputs may be inaccurate, incomplete, harmful, offensive, unexpected, or unsuitable for your intended purpose. Reeltime Apps Ltd does not guarantee the accuracy, quality, legality, ownership, reliability, or safety of any AI-generated content. You use all AI Features entirely at your own risk. No Warranty for AI Outputs AI-generated content is produced automatically based on user inputs and third-party model behaviour. Reeltime Apps Ltd makes no representations or warranties of any kind regarding: the correctness, reliability, legality, or usefulness of AI outputs whether the outputs infringe intellectual property or privacy rights whether the outputs are suitable for commercial or public use whether the outputs will perform in the way you expect All AI Features are provided strictly “AS IS” and “AS AVAILABLE.” Reeltime Apps Ltd shall not be responsible or liable for: any AI-generated content any actions you take based on AI outputs any harm, loss, or damages arising from your use of AI outputs any third-party claim relating to content you create using AI Features User Responsibility You are solely responsible for: All content you submit to the AI Features, including images, text, and any reference materials. Ensuring that your inputs and outputs comply with all laws, including copyright, privacy, publicity, and export laws. Owning or having the necessary rights to use any materials you upload into the AI Features. Deciding whether AI-generated outputs are accurate, legal, or appropriate for use. Right to Suspend or Remove AI Features You acknowledge and agree that: Reeltime Apps Ltd may modify, suspend, restrict, or discontinue any AI Feature at any time, with or without notice. AI Features may become temporarily or permanently unavailable due to technical issues, provider changes, policy requirements, or discontinuation by OpenAI or other third parties. Reeltime Apps Ltd has no obligation to continue to provide any AI Feature now or in the future. Reeltime Apps Ltd will not be liable for any loss, inconvenience, or harm caused by the modification, suspension, or removal of any AI Feature. Third-Party AI Providers Certain AI Features rely on third-party services, including but not limited to OpenAI. Your use of these features constitutes agreement to their policies as well. Reeltime Apps Ltd is not responsible for: third-party availability retention or deletion of data by third-party AI providers security practices of those third parties any errors, delays, or failures caused by those providers Intellectual Property The Content presented to you as part of the Services, including, but not limited to, advertisements, may be owned by us or by third parties and is protected by intellectual property rights under both United States and foreign laws. You have no rights in or to the Content, and you will not use the Content except as permitted under this Agreement. The trademarks, service marks, and logos of Reelshot by Reeltime Apps Limited (the “Reeltime Apps Limited Trademarks”) used and displayed on the Services are registered and unregistered trademarks or service marks of Reeltime Apps Limited. Other company, product, and service names located on the Services may be trademarks or service marks owned by others (the “Third-Party Trademarks,” and, collectively with Reeltime Apps Limited Trademarks, the “Trademarks”). Nothing on the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use the Trademarks, without our prior written permission specific for each such use. All goodwill generated from the use of the Reeltime Apps Limited Trademarks inures to our benefit. Elements of the Services are protected by trade dress, trademark, unfair competition, and other state and federal laws and may not be copied or imitated, in whole or in part, by any means. Ending These Terms We reserve the right, in our sole discretion, to restrict, suspend, or terminate this Agreement and your access to all or any part of the Services, at any time and for any reason without prior notice or liability. We reserve the right to change, suspend, or discontinue all or any part of the Services at any time without prior notice or liability. Disclaimers and Limitations of Liability Please read this section carefully since it limits the liability of Reeltime Apps Limited and its parents, subsidiaries, affiliates, related companies, officers, directors, employees, agents, representatives, partners, and licensors (collectively, the “Reeltime Apps Limited Entities”). Each of the subsections below only applies up to the maximum extent permitted under applicable law. Some jurisdictions do not allow the disclaimer of implied warranties or the limitation of liability in contracts, and as a result the contents of this section may not apply to you. The Services are Available “AS-IS” Your access to and use of the Services or any Content is at your own risk. Reeltime Apps Limited Entities make no warranty and disclaim all responsibility and liability for: (i) the completeness, accuracy, availability, timeliness, security or reliability of the Services or any Content; (ii) any harm to your computer system, loss of data, or other harm that results from your access to or use of the Services, or any Content; (iii) the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Services; (iv) whether the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from Reeltime Apps Limited Entities or through the Services, will create any warranty not expressly made herein. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE Reeltime Apps Limited ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; OR (iv) UNAUTHORISED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE Reeltime Apps Limited ENTITIES EXCEED THE GREATER THAN THE AMOUNT YOU PAID Reeltime Apps Limited, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM. Indemnification You agree to defend, indemnify, and hold Reeltime Apps Limited harmless from and against any claims, actions, suits, proceedings, or demands (collectively, “Claims”), including, without limitation, reasonable legal and accounting fees, arising or resulting from your user content, your breach of this Agreement, and/or your access to, use, or misuse of the Services. We shall provide notice to you of any such Claim and shall assist you, at your expense, in defending any such Claim. We reserve the right to assume the exclusive defence and control of any matter that is subject to indemnification under this section. In such case, you agree to cooperate with any reasonable requests assisting our defence of such matter. Waiver And Severability The failure of Reeltime Apps Limited to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect. Entire Agreement These Terms, the Reeltime Apps Limited Rules and our Privacy Policy are the entire and exclusive agreement between Reeltime Apps Limited and you regarding the Services (excluding any services for which you have a separate agreement with Reeltime Apps Limited that is explicitly in addition or in place of these Terms), and these Terms supersede and replace any prior agreements between Reeltime Apps Limited and you regarding the Services. AI Output is for general informational purposes only and is not legal, medical, financial, safety-critical, or any other professional advice. Your responsibility. You are solely responsible for your filming, your decisions, and any content you create or publish using the Services or AI Output.
