We provide our Services to you subject to the following Terms of Use, which may be updated by us from time to time without notice to you. By browsing the public areas or by accessing and using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use and our Privacy Policy, which is hereby incorporated by reference (collectively, this “Agreement”). If you do not agree to any of these terms, please do not use the Services.

Basic Terms

You are responsible for your use of the Services, for any Content you post to the Services, and for any consequences thereof. The Content you submit, post, or display may be viewable by other users of the Services and through third-party services and websites. You should only provide Content that you are comfortable sharing with others under these Terms.

You may use the Services only if you can form a binding contract with Reeltime Apps Ltd and are not a person barred from receiving services under the laws of the United Kingdom or other applicable jurisdiction. If you are accepting these Terms and using the Services on behalf of a company, organisation, government, or other legal entity, you represent and warrant that you are authorised to do so. You may use the Services only in compliance with these Terms and all applicable local, state, national, and international laws, rules and regulations.

The Services that Reeltime Apps Ltd provides are always evolving and the form and nature of the Services may change from time to time without prior notice to you. In addition, Reeltime Apps Ltd may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally and may not be able to provide you with prior notice. We also retain the right to create limits on use and storage at our sole discretion at any time without prior notice to you.

The Services may include advertisements, which may be targeted to the Content or information on the Services, queries made through the Services, or other information. The types and extent of advertising by Reeltime Apps Ltd on the Services are subject to change. In consideration for Reeltime Apps Ltd granting you access to and use of the Services, you agree that Reeltime Apps Ltd and its third-party providers and partners may place such advertising on the Services or in connection with the display of Content or information from the Services whether submitted by you or others.

Privacy

Any information that you provide to Reeltime Apps Ltd is subject to our Privacy Policy, which governs our collection and use of your information. You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the United Kingdom and/or other countries for storage, processing and use by Reeltime Apps Ltd. As part of providing you the Services, we may need to provide you with certain communications, such as service announcements and administrative messages. These communications are considered part of the Services and your account, and you may not be able to opt out of receiving them.

Content on the Services

All Content, whether publicly posted or privately transmitted, is the sole responsibility of the person who originated such Content. We may, but are not required to, monitor or control the Content posted via the Services and we cannot take responsibility for such Content. Any use or reliance on any Content or materials posted via the Services or obtained by you through the Services is at your own risk.

We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Services or endorse any opinions expressed via the Services. Under no circumstances will Reeltime Apps Ltd be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Services or broadcast elsewhere.

You hereby represent and warrant that (i) you own all rights in and to your User Content, or, if the User Content is subject to third-party proprietary rights (e.g., copyright, trademark, patent, trade secret, privacy, publicity), you have all necessary licences, rights, consents, and permissions to publish the User Content you submit and to grant the rights granted herein, including permission from all person(s) appearing in your User Content; (ii) you are not a minor; (iii) you are legally entitled to post the User Content; and (iv) the User Content is not libellous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, or offensive, and the Licensed Parties’ use of your User Content as described herein will not violate any other law. You hereby release, discharge and agree to hold the Licensed Parties, and any person acting on their behalf, harmless from any liability related in any way to the Licensed Parties’ use of your User Content.

You or the owner of your User Content still own the copyright in User Content sent to us, but by submitting User Content via the Services, you hereby grant us an unconditional, irrevocable, non-exclusive, royalty-free, fully transferable, perpetual worldwide licence to use, modify, adapt, reproduce, make derivative works of, publish, transmit, and/or distribute—and to authorise other users of the Services and third parties to view, access, use, download, modify, adapt, reproduce, make derivative works of, publish and/or transmit—your User Content in any format and on any platform, now known or hereafter invented.

Age Limit

VLOG AI is only for people 13 years old and over unless they have the consent of a parent or legal guardian. By using the Platform, you confirm that you are over the relevant age specified above. If we learn that someone under the relevant age is using the Platform, we will terminate that user’s account. If you are under the relevant age, you confirm that you possess legal parental or guardian consent for accessing or using the Platform, and are fully able and competent to enter into, abide by, and comply with the Terms.

AI Output (Critical) — Guidance Only; No Liability

VLOG AI includes an in-camera AI assistant that generates on-screen prompts, tips, facts, and shot guidance (“AI Output”).

AI Output may be inaccurate, incomplete, out-of-date, or inappropriate for your situation. You must independently review and verify any AI Output before relying on it.
No professional advice. AI Output is for general informational purposes only and is not legal, medical, financial, safety-critical, or any other professional advice.
Your responsibility. You are solely responsible for your filming, your decisions, and any content you create or publish using the Services or AI Output.

To the maximum extent permitted by law, Reeltime Apps Ltd will not be liable for any claim, loss, damage, cost, or expense arising out of or relating to AI Output or your reliance on it, including without limitation errors, omissions, infringement, defamation, breaches of privacy, or any decisions or actions you take. If applicable law does not allow a full exclusion, our liability will be limited to the fullest extent permitted (see “Disclaimers and Limitations of Liability”).

Your Rights

You retain your rights to any Content you submit or post through the Services. In order to make the Services available to you and other users, Reeltime Apps Ltd needs a licence from you. By submitting, posting or displaying Content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free licence (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such Content in any and all media or distribution methods (now known or later developed).

You agree that this licence includes the right for Reeltime Apps Ltd to provide, promote, and improve the Services and to make Content submitted to or through the Services available to other companies, organisations or individuals who partner with Reeltime Apps Ltd for the syndication, broadcast, distribution or publication of such Content on other media and services, subject to our terms and conditions for such Content use. Such additional uses may be made with no compensation paid to you with respect to the Content that you submit, post, transmit or otherwise make available through the Services.

We may modify or adapt your Content in order to transmit, display or distribute it over computer networks and in various media and/or make changes to your Content as are necessary to conform and adapt that Content to any requirements or limitations of any networks, devices, services or media.

You are responsible for your use of the Services, for any Content you provide, and for any consequences thereof, including use of your Content by other users and our third-party partners. If you do not have the right to submit Content for such use, it may subject you to liability. Reeltime Apps Ltd will not be responsible or liable for any use of your Content by Reeltime Apps Ltd in accordance with these Terms. You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any Content that you submit.

Your Licence to Use the Services

Reeltime Apps Ltd gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive licence to use the software provided to you by Reeltime Apps Ltd as part of the Services. This licence is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Reeltime Apps Ltd, in the manner permitted by these Terms.

Reeltime Apps Ltd Rights

All right, title, and interest in and to the Services (excluding Content provided by users) are and will remain the exclusive property of Reeltime Apps Ltd and its licensors. The Services are protected by copyright, trademark, and other laws of the United Kingdom and foreign countries. Reeltime Apps Ltd reserves all rights not expressly granted in these Terms. Any feedback, comments, or suggestions you provide is entirely voluntary, and we may use it without obligation to you.

Restrictions on Content and Use of the Services

We reserve the right at all times (but will not have an obligation) to remove or refuse to distribute any Content on the Services and to suspend or terminate users.

We also reserve the right to access, read, preserve, and disclose any information we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request; (ii) enforce the Terms, including investigation of potential violations; (iii) detect, prevent, or otherwise address fraud, security or technical issues; (iv) respond to user support requests; or (v) protect the rights, property or safety of Reeltime Apps Ltd, its users and the public. Reeltime Apps Ltd does not disclose personally identifying information to third parties except in accordance with our Privacy Policy.

You may not do any of the following while accessing or using the Services: (i) access, tamper with, or use non-public areas of the Services, Reeltime Apps Ltd’s computer systems, or the technical delivery systems of Reeltime Apps Ltd’s providers; (ii) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures; (iii) access or search the Services by any means other than through our currently available, published interfaces provided by Reeltime Apps Ltd (and only pursuant to those terms), unless specifically allowed in a separate agreement with Reeltime Apps Ltd; (iv) forge headers or otherwise send altered, deceptive or false source-identifying information; or (v) interfere with, or disrupt, the access of any user, host or network (including without limitation sending a virus, overloading, flooding, spamming, mail-bombing the Services, or scripting the creation of Content in a manner that burdens the Services).

Intellectual Property

The Content presented to you as part of the Services, including advertisements, may be owned by us or by third parties and is protected by intellectual property rights. You have no rights in or to such Content, and you will not use it except as permitted under this Agreement. The trademarks, service marks, and logos of VLOG AI / Reeltime Apps Ltd used and displayed on the Services are trademarks or service marks of Reeltime Apps Ltd. Other company, product, and service names may be trademarks or service marks owned by others. Nothing on the Services should be construed as granting any licence or right to use the Trademarks without our prior written permission. All goodwill generated from use of our Trademarks inures to our benefit.

Elements of the Services are protected by trade dress, trademark, unfair competition, and other laws and may not be copied or imitated, in whole or in part, by any means.

Ending These Terms

We reserve the right, in our sole discretion, to restrict, suspend, or terminate this Agreement and your access to all or any part of the Services, at any time and for any reason without prior notice or liability. We reserve the right to change, suspend, or discontinue all or any part of the Services at any time without prior notice or liability.

Disclaimers and Limitations of Liability

The Services are Available “AS-IS.”
Your access to and use of the Services or any Content is at your own risk. The Services are provided on an “AS IS” and “AS AVAILABLE” basis. Without limiting the foregoing, Reeltime Apps Ltd disclaims all warranties and conditions, whether express or implied, of merchantability, fitness for a particular purpose, or non-infringement.

Reeltime Apps Ltd makes no warranty and disclaims all responsibility and liability for: (i) the completeness, accuracy, availability, timeliness, security or reliability of the Services or any Content (including AI Output); (ii) any harm to your device, loss of data, or other harm that results from your access to or use of the Services; (iii) the deletion of, or the failure to store or to transmit, any Content or communications maintained by the Services; (iv) whether the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from Reeltime Apps Ltd or through the Services, will create any warranty not expressly made herein.

Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REELTIME APPS LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES (INCLUDING AI OUTPUT); OR (iv) UNAUTHORISED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF REELTIME APPS LTD EXCEED THE GREATER OF THE AMOUNT YOU PAID REELTIME APPS LTD, IF ANY, IN THE PAST SIX (6) MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM OR £50.

Indemnification

You agree to defend, indemnify, and hold Reeltime Apps Ltd harmless from and against any claims, actions, suits, proceedings, or demands (collectively, “Claims”), including reasonable legal and accounting fees, arising or resulting from your User Content, your reliance on or use of AI Output, your breach of this Agreement, and/or your access to, use, or misuse of the Services. We may assume exclusive defence and control of any matter subject to indemnification and you agree to cooperate with us.

Waiver and Severability

The failure of Reeltime Apps Ltd to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement; Changes

These Terms, the Reeltime Apps Ltd Rules (if any) and our Privacy Policy are the entire and exclusive agreement between Reeltime Apps Ltd and you regarding the Services (excluding any services for which you have a separate agreement with Reeltime Apps Ltd that explicitly replaces these Terms). We may revise these Terms from time to time; the most current version will always be available in the app and on our website. Your continued use of the Services constitutes acceptance of any changes.

Governing Law

These Terms are governed by the laws of England & Wales, and the courts of England shall have exclusive jurisdiction, except where mandatory consumer laws give you local rights.
